TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your purchase and use of any digital or physical products, online or in-person courses, seminars (“Seminars”), mentorships, and other services (“Products”) provided by James Nicholson Training Services Ltd (“we,” “us,” or “our”). By placing an order or making a booking, you agree to these Terms. Please read them carefully.


1. DEFINITIONS

1.1 Booking: A request by you to attend a Seminar or other event.
1.2 Confidential Information: Any non-public information we disclose, in any form, unless it becomes public by no fault of yours.
1.3 Deposit: The advance payment required to secure your Booking.
1.4 Digital Content: Our online courses, programmes, and related materials accessible digitally.
1.5 Force Majeure Event: Events outside our reasonable control, including natural disasters, war, terrorism, labour disputes, or failures in public infrastructure.
1.6 Intellectual Property Rights: Copyright, trademarks, designs, trade secrets, and all other proprietary rights (whether registered or unregistered).
1.7 Package: A combination of Seminars offered for one price.
1.8 Products: All goods (e.g., books, CDs), Digital Content, and other items listed on our website from time to time.
1.9 Seminar: Any live or recorded training, mentorship, or course offered by us, either singly or as part of a Package.


2. SCOPE

2.1 These Terms apply to all purchases or Bookings you make with James Nicholson Training Services Ltd. Additional or varied terms will not apply unless we have agreed to them in writing.
2.2 By buying a Product or making a Booking, you confirm that you have read, understood, and accepted these Terms.


3. OUR CONTRACT WITH YOU

3.1 Orders and Bookings

  • When you place an Order for a Product (including Digital Content) or make a Booking for a Seminar, we will confirm acceptance in writing or via email. A binding contract arises only once we accept your Order or Booking.
  • If we cannot accept, we will notify you and will not charge you.

3.2 Delivery and Access

  • Physical Products are usually delivered within 14 days of acceptance of your Order.
  • Digital Content is made available for download or streaming once your payment has cleared, unless stated otherwise.
  • Seminar details (date, time, and location) will be provided once we confirm your Booking. We may change presenters, venues, or Seminar content, but we will let you know if significant changes occur.

3.3 Refusal of Access

  • We reserve the right to refuse or suspend your access to any Product or Seminar if you have not paid in full or if you breach these Terms.

4. DEPOSIT, PAYMENT, AND REFUNDS

4.1 Prices

  • All prices are stated exclusive of VAT unless otherwise indicated. If the VAT rate changes before you pay in full, we may adjust the amount charged.

4.2 Deposit

  • Seminars and Packages may require a Deposit to confirm your place. Deposits are generally non-refundable unless stated otherwise in these Terms.

4.3 Payment

  • You must pay any outstanding balance by the agreed due date. If you miss a payment, we reserve the right to charge interest at 4% above the base rate of a major UK bank for each day payment is overdue.

4.4 Refunds for Seminars and Packages

  • No refunds will be issued for non-attendance or partial attendance.
  • If you are a consumer and purchased a Seminar online, you may have a 14-day cooling-off period unless the Seminar begins (in-person or digitally) before that period ends. Once the Seminar starts, the cooling-off period ends and no refund is given.
  • If a Seminar is cancelled by us and no suitable alternative is offered, we will refund any amounts you paid for that Seminar.

4.5 Refunds for Digital Content

  • Once Digital Content (e.g., an online course) is accessed or downloaded, you lose your right to a 14-day cooling-off cancellation, unless the content is faulty or not as described.

5. CHANGES AND CANCELLATIONS

5.1 Your Changes

  • If you wish to reschedule a Seminar Booking, you must contact us at least 10 days before the original Seminar date. We will do our best to accommodate your request but cannot guarantee availability. An administration fee may apply.

5.2 Our Changes

  • We may make minor changes to Products or Seminars to reflect updates to the law or to address technical adjustments. Significant changes, such as a change in Seminar date, will be communicated, and you may cancel if you do not agree to the change.

5.3 Cancellation by You

  • If you cancel a Seminar without a legal right to do so (e.g., outside your statutory consumer rights), we will not refund your Deposit or any other sums already paid.
  • If we cancel or postpone a Seminar for reasons within our control and you do not wish to attend a rescheduled date, we will offer a refund.

6. USE OF INFORMATION AND CONFIDENTIALITY

6.1 Intellectual Property

  • All materials, presentations, and Digital Content (including recordings of Seminars) provided by us are our exclusive property or used under licence. You may not copy, distribute, or share these materials without written consent.

6.2 Confidentiality

  • You agree not to disclose any of our Confidential Information to any third party.

7. LIMITATION OF LIABILITY

7.1 Consumers

  • If you are a consumer, we are liable for foreseeable loss or damage caused by our failure to use reasonable care and skill. We do not exclude liability where it is illegal to do so, such as for death or personal injury caused by negligence or fraud.
  • We are not responsible for losses related to any business or commercial activity if you use our Products as a consumer.

7.2 Businesses

  • If you are purchasing for a business, our total liability for all claims arising out of or in connection with these Terms will not exceed the fees you have paid for the specific Product or Seminar.
  • We are not liable for indirect or consequential losses, including loss of profit or business opportunities.

7.3 No Financial Advice

  • We are not regulated by the Financial Conduct Authority. Any financial or property-related information provided is for educational purposes only. Always seek independent professional advice before making investment decisions.

8. EVENTS OUTSIDE OUR CONTROL

8.1 We are not liable for any failure or delay in performance due to a Force Majeure Event. If such an event occurs, we will contact you as soon as reasonably possible to make alternative arrangements.


9. CONSUMER RIGHTS AND COMPLAINTS

9.1 Your Statutory Rights

  • Nothing in these Terms affects your statutory rights. If you believe a Product is faulty or misdescribed, please contact us promptly.

9.2 Complaints

  • If you have a complaint about a Product or Seminar, contact our customer service team. We will do our best to resolve any issue as quickly as possible.

10. OTHER IMPORTANT TERMS

10.1 Transfer

  • We may transfer our rights and obligations under these Terms to another organisation. You may only transfer your rights if we agree in writing.

10.2 Severance

  • Each paragraph operates separately. If any part of these Terms is found to be unlawful by a court, the remainder will continue to apply.

10.3 Waiver

  • If we delay in enforcing any part of these Terms, this does not mean we waive our right to do so later.

10.4 Governing Law and Jurisdiction

  • These Terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the English courts, unless otherwise required by consumer protection laws that apply in your jurisdiction.
